1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the website, products, and services (collectively, the “Services”) provided by MATI Labs (“we,” “us,” “our”). By using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

• Payments are processed via authorized third-party providers.
• Unless otherwise stated, fees are non-refundable.
• We may revise pricing with prior notice; you may cancel before changes take effect.

7. Termination

We may suspend or terminate your account or access for violations or any reason at our discretion. Upon termination, all rights granted to you cease. Sections regarding intellectual property, disclaimers, and limitation of liability survive termination.

8. Disclaimers of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATI LABS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS OR USD 100, WHICHEVER IS GREATER.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Newark, New Jersey.

11. Changes to Terms

We may update these Terms at any time and will revise the “Last Updated” date accordingly. Continued use after updates constitutes acceptance.

12. Miscellaneous

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and MATI Labs.
• Severability: If any provision is invalid, the remaining provisions remain in effect.
• Waiver: No waiver shall be deemed continuing unless in writing.
• Assignment: You may not assign rights without our written consent; we may assign ours without restriction.
